Yipii Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of:
- Yipii's websites (the "Website");
- Yipii's mobile and web applications, including the Yipii IoT and Yipii Mobility platforms (the "Apps");
- Yipii's online shop (the "Shop");
- Any related services, software, hardware, and subscriptions provided by Yipii (together, the "Services").
By accessing or using any part of the Website, Apps, Shop, or Services, you agree to be bound by these Terms.
If you are using the Services on behalf of a legal entity, you confirm that you have authority to bind that entity, and references to "you" include that entity.
1. Company information
The Services are provided by Yipii Limited, a company registered in Malta with registration number C 16799, and registered address at 197, Kest, Triq il-Ġiżimin, Swieqi, Malta ("Yipii", "we", "us", "our").
2. Definitions
- Account: A registered user account enabling access to the Website, Apps, Shop, or Services.
- Client Data: Data generated or provided by you through use of the Services and stored on Yipii systems, excluding anonymised or aggregated data.
- Equipment: Hardware such as GPS trackers, hubs, sensors, cameras, beacons, or related devices, whether supplied by Yipii or third parties.
- Business Customer: A user acting for commercial, professional, or business purposes.
- Consumer: A natural person acting outside their trade, business, or profession.
3. Eligibility and user obligations
You must have legal capacity to enter into binding contracts and must use the Website, Apps, Shop, and Services in compliance with applicable laws.
You are responsible for:
- Maintaining the confidentiality of your Account credentials;
- All activity occurring under your Account;
- Ensuring information you provide is accurate and up to date.
4. Scope of Services (IoT and Mobility)
Yipii provides software-based fleet, asset, and IoT monitoring solutions, together with optional Equipment and related tools. Services may include real-time tracking, analytics, alerts, reporting, integrations, and data visualisation.
4.1 Licence to use
Subject to these Terms, Yipii grants you a limited, non-exclusive, non-transferable right to access and use the Apps and software solely for their intended purpose.
4.2 Tracking and legal compliance
If you use the Services to track vehicles, assets, or individuals, you are solely responsible for ensuring:
- A valid legal basis for tracking;
- Compliance with employment, privacy, data protection, and monitoring laws;
- Proper notices and consents where required.
Yipii does not verify, manage, or obtain such consents on your behalf.
4.3 Prohibited use
You must not use the Services to:
- Track individuals unlawfully or without proper authorisation;
- Violate applicable laws or third-party rights;
- Engage in surveillance or monitoring prohibited by law.
4.4 Installation and environment
Unless expressly agreed in writing:
- Services are provided on a self-service basis;
- You are responsible for installation, configuration, and maintenance of Equipment;
- Yipii is not responsible for inaccuracies or failures caused by improper installation, misuse, or external factors.
5. Changes to Services
Yipii may modify, update, or enhance the Services from time to time, provided there is no material reduction in core functionality. Temporary interruptions may occur during updates or maintenance.
6. Availability and support
The Services and Equipment may experience interruptions, errors, or data loss due to factors beyond Yipii's reasonable control, including network outages, third-party systems, or force majeure events.
Where defects are reported, Yipii will use reasonable efforts to address software-related issues within a reasonable time.
Monitoring tools provided through IoT sensors assist operational oversight but do not replace human supervision or regulatory compliance obligations.
7. Subscriptions, fees, and payment
Prices, plans, billing cycles, and payment terms are displayed during checkout or set out in applicable order forms or agreements.
For Business Customers:
- Fees may be payable in advance;
- Late payments may result in suspension or termination of Services;
- Interest may accrue on overdue amounts.
All prices are exclusive of applicable taxes unless stated otherwise.
8. Yipii Shop (e-commerce terms)
8.1 Orders
Orders placed via the Shop constitute an offer to purchase. A binding contract is formed upon order confirmation or dispatch, as indicated during checkout.
8.2 Payment
You authorise Yipii and its payment providers to charge your selected payment method for the full purchase amount.
8.3 Delivery
Delivery options, costs, and estimated timelines are displayed at checkout.
Unless mandatory law provides otherwise:
- Title passes upon full payment;
- Risk passes upon delivery to the provided address.
8.4 Returns and refunds – Consumers
Consumers purchasing at a distance generally have a 14-day right of withdrawal, subject to statutory exclusions. Applicable procedures and exclusions are communicated during checkout or order confirmation.
8.5 Returns and refunds – Business Customers
Returns for Business Customers are governed by the terms stated at checkout, in order documentation, or applicable warranty terms.
8.6 Third-party products
Certain products or integrations may be supplied by third parties and may be subject to additional terms.
9. Data protection and privacy
Yipii processes personal data in accordance with applicable data protection laws and its Privacy Policy.
You are responsible for ensuring that any data collected or processed through the Services is lawful and that required consents and notices are in place.
9.1 Anonymised and aggregated data
Client Data remains your data. However, you grant Yipii the right to aggregate, anonymise, de-identify, and otherwise process data so that it no longer identifies you or any individual, asset, or vehicle.
Yipii may use, commercialise, license, disclose, or sell such anonymised or aggregated data to third parties for statistical, analytical, benchmarking, research, or commercial purposes. Such data is not considered Client Data and is not subject to confidentiality or ownership restrictions.
10. Confidentiality (Business Customers)
Each party must keep confidential information received from the other party confidential and use it solely for performance of the Services, except where disclosure is required by law or permitted under these Terms.
11. Intellectual property
All intellectual property rights in the Website, Apps, Services, and software remain the property of Yipii or its licensors.
You acquire no rights other than the limited rights expressly granted under these Terms.
12. Acceptable use
You must not:
- Use the Services unlawfully;
- Attempt unauthorised access to systems or data;
- Reverse engineer or bypass security measures (except where mandatory law allows);
- Upload malicious code or infringing content.
13. Third-party services
The Services may integrate with or rely on third-party services (including telecom networks, mapping providers, operating systems, and payment processors). Yipii is not responsible for the availability or performance of such third-party services.
14. Suspension and termination
14.1 By Yipii
Yipii may suspend or terminate access if you:
- Materially breach these Terms;
- Fail to pay fees when due;
- Use the Services unlawfully;
- Create legal, security, or operational risks.
14.2 By you
You may terminate in accordance with your subscription plan or applicable agreement.
14.3 Effect of termination
Upon termination, your right to use the Services ceases. Provisions intended to survive termination remain in effect.
15. Warranties and disclaimers
Yipii will provide Services with reasonable care and skill.
Services and Equipment are provided without guarantees of uninterrupted or error-free operation.
You remain responsible for compliance with all applicable laws and operational obligations arising from your use of the Services.
16. Liability and indemnity
Nothing limits liability for death or personal injury caused by negligence or for fraud.
You agree to indemnify Yipii against claims arising from:
- Your misuse of the Services;
- Failure to comply with applicable laws;
- Damage, loss, or theft of Equipment.
Yipii is not liable for indirect or consequential losses arising from service interruptions, to the extent permitted by law.
17. Force majeure
Neither party is liable for failure or delay caused by events beyond reasonable control, including natural disasters, power outages, network failures, or governmental actions.
18. Governing law and dispute resolution
These Terms are governed by the laws of Malta.
Disputes not resolved amicably within 30 days may be referred to arbitration in Malta under the Malta Arbitration Act. Proceedings shall be conducted in English or Maltese.
19. Changes to these Terms
Yipii may update these Terms from time to time. Continued use of the Website, Apps, Shop, or Services after changes take effect constitutes acceptance of the updated Terms.
20. Miscellaneous
- If any provision is held invalid, the remainder remains in force.
- Failure to enforce any provision does not constitute a waiver.
- These Terms do not create a partnership, agency, or employment relationship.
